Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of the Mylos website and, if you purchase a license, your use of the Mylos software and related services (together, the "Services"). By accessing this site or purchasing a license, you agree to these Terms. If you are entering into these Terms on behalf of a company, you confirm that you have authority to bind that company, and "you" refers to that company.

2. About Mylos

Mylos AI, Inc. ("Mylos", "we", "us") builds agentic CNC programming software for subtractive manufacturing. The Services are provided for commercial and professional use, not for consumer use.

3. License Grant

Subject to these Terms and your payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Mylos software during your paid subscription period, solely for your own machining operations at your own facilities.

Your license covers the capabilities described at the time of purchase. Capabilities not expressly included, including machining modes we have not released, are not part of your license.

5. Subscriptions, Fees, and Renewal

Licenses are sold on a subscription basis at the prices presented at checkout, currently 49 USD per month for Individual, 149 USD per month for Shop, and 499 USD per month for Pro Shop. Enterprise subscriptions are priced by written quote. Payments are processed by Stripe; we do not receive or store your full payment card details.

Subscriptions renew automatically at the end of each billing period at the then-current price, until cancelled. You authorize us and our payment processor to charge your payment method on each renewal. We will give you reasonable advance notice by email before any price change takes effect on your subscription.

Prices are exclusive of sales, use, VAT, and similar taxes, which will be added where applicable. If a payment fails, we may retry the charge and may suspend access until payment is received.

6. Cancellation and Refunds

You may cancel at any time, effective at the end of your current billing period. Monthly subscriptions are not refunded for partial months, and annual subscriptions are not refunded for unused time, except where required by law or where we agree otherwise in writing. On cancellation or expiry, your license ends and you must stop using the software and remove it from your systems.

7. Support

Active subscriptions include support by email and, where we have agreed to it with you, by phone or video. We aim to respond promptly at any hour, but unless we have signed a separate written service level agreement with you, support is provided on a commercially reasonable efforts basis and we do not guarantee specific response or resolution times.

8. Third-Party CAM Software

The Mylos software operates alongside third-party CAM systems, including Mastercam and Autodesk Fusion 360. Those products are owned by their respective owners, and references to them do not imply endorsement, affiliation, or partnership. You are responsible for holding valid licenses for any third-party software you use with Mylos and for complying with its terms. We are not responsible for changes those vendors make to their products.

9. Your Data and Confidentiality

You retain all rights in the part files, models, drawings, tooling data, machine configurations, and other materials you provide ("Customer Data"). You grant us only the rights needed to host, process, and use Customer Data to provide and support the Services for you, including adapting the software to your shop's preferences.

We will not use your proprietary Customer Data to train models made available to other customers without your prior written permission. We treat Customer Data as confidential and will not disclose it to third parties except to service providers acting on our behalf under confidentiality obligations, or where required by law.

You are responsible for ensuring you have the right to share any Customer Data with us, including data belonging to your own customers, and for identifying in advance any data subject to export control, defense, or similar restrictions.

10. Product Status and Changes

Mylos is under active development. We may add, modify, or discontinue features over time. We will not materially reduce the core capability you purchased during a paid term without offering you a prorated refund of fees for the remainder of that term.

11. Intellectual Property

We and our licensors retain all rights, title, and interest in the Services, the software, our models, and all content on this site, including text, graphics, and logos. No rights are granted other than the license expressly described in these Terms. Feedback you send us may be used without restriction or compensation.

12. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.

You remain responsible for verifying all output before it is used to cut material. Toolpaths, programs, and machining parameters produced or suggested by the software must be reviewed by a qualified person and verified against your machines, tooling, fixturing, and stock. You are responsible for the safe operation of your equipment and for compliance with applicable safety requirements.

13. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost production time, scrapped material, damage to tooling, machines, or workpieces, or loss of data, even if advised of the possibility.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Services will not exceed the total fees you paid to us in the twelve months immediately before the event giving rise to the claim.

14. Indemnification

You will defend and indemnify us against third-party claims arising from your use of the Services in breach of these Terms, your Customer Data, or your failure to verify output as described in Section 12.

15. Suspension and Termination

We may suspend or terminate your access if you materially breach these Terms, if payment is not received, or if we reasonably believe your use poses a security or legal risk. Where practical and appropriate, we will give you notice and an opportunity to cure. Sections that by their nature should survive termination, including Sections 4, 9, and 11 through 14, will survive.

16. Use of the Site

You may use this site only for lawful purposes. You agree not to interfere with its operation, attempt to gain unauthorized access to any systems, or use automated tools to scrape or overload it.

17. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. For material changes affecting a paid subscription, we will give you reasonable advance notice by email, and the changes will apply from your next renewal. Continued use after changes take effect constitutes acceptance.

18. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, excluding its conflict of law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Wilmington, New Castle County, Delaware, and each party waives any objection to venue in those courts.

19. Entire Agreement

These Terms are the entire agreement between you and us regarding the Services and supersede any prior discussions, unless we have signed a separate written agreement with you, in which case that agreement controls where it conflicts with these Terms.
